Welcome to PacSunGroup ("we," "us," "our," or "PacSunGroup"). These Terms of Service ("Terms") govern your use of our website, AI automation services, custom agent development, workflow solutions, and all related features (collectively, the "Services"). By accessing or using the Services, you accept and agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

1. Information We Collect

PacSunGroup provides:

  • Custom AI agent development and deployment

  • Automated workflow solutions for business processes

  • Third-party integrations and data synchronization

  • AI strategy consulting and implementation guidance

  • Real-time analytics and intelligence dashboards

    Services are provided on an as-is basis and may be subject to limitations, restrictions, and modifications described in your Service Agreement or as updated from time to time.

2. User Accounts and Responsibilities

2.1 Account Creation

To access our Services, you may be required to create an account. You agree to provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

2.2 Authorized Users

If you are using PacSunGroup Services on behalf of a company or organization, you represent and warrant that you are authorized to do so and that your company or organization agrees to be bound by these Terms.

2.3 Prohibited Uses

You agree not to use the Services to: (a) violate any applicable law or regulation; (b) infringe intellectual property rights; (c) transmit malware or harmful code; (d) gain unauthorized access to systems; (e) engage in fraudulent or deceptive practices; or (f) interfere with or disrupt the Services.

3. Payment and Billing

3.1 Fees

Service fees are outlined in your Service Agreement or quotation. Unless otherwise specified, fees are billed monthly in advance. Custom development services are billed according to the agreed scope of work.

3.2 Payment Methods

You authorize PacSunGroup to charge your designated payment method (e.g., credit card via Stripe or ACH) for all fees. You are responsible for keeping payment information current and accurate.

3.3 Taxes

You are responsible for all applicable taxes, duties, and governmental charges. PacSunGroup will not charge sales tax unless you provide a valid tax exemption certificate.

3.4 Late Payment

If payment is not received by the due date, PacSunGroup may suspend or terminate access to the Services and may charge late fees of 1.5% per month on the unpaid balance.

4. Intellectual Property

4.1 PacSunGroup IP

All content, code, algorithms, and technology developed by PacSunGroup (including AI agents, workflows, and platform infrastructure) remain the exclusive property of PacSunGroup. You receive a limited, non-exclusive license to use the Services for your internal business purposes only.

4.2 Custom Development

For custom AI agents or workflows developed specifically for you under a custom development agreement, ownership will be governed by that separate agreement. In the absence of a separate agreement, PacSunGroup retains ownership but grants you a perpetual license to use the deliverables for your business.

4.3 Restrictions

You may not: (a) reverse-engineer, decompile, or disassemble the Services; (b) copy or reproduce the Services; (c) sell, resell, or commercially exploit the Services; or (d) transfer your license to any third party without PacSunGroup's prior written consent.

5. Third-party Services and Integrations

The Services may integrate with third-party platforms and services (e.g., Stripe, Supabase, Vercel, third-party APIs). Your use of these third-party services is governed by their respective terms and privacy policies. PacSunGroup is not responsible for third-party service performance, availability, or data handling. Third-party service failures do not relieve you of payment obligations to PacSunGroup, except where PacSunGroup fails to provide alternate solutions within a reasonable timeframe.

6. Limitation of Liability

6.1 Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". PACSUNGROUP MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. PACSUNGROUP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

6.2 Limitation

IN NO EVENT SHALL PACSUNGROUP BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR TOTAL LIABILITY TOWARD PACSUNGROUP FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

6.3 Exceptions

These limitations do not apply to claims arising from: (a) gross negligence or willful misconduct; (b) breach of confidentiality; (c) intellectual property infringement; or (d) data breaches caused by PacSunGroup's failure to implement reasonable security measures.
